Job Description

The successful individual will be responsible for providing comprehensive and professional corporate secretarial services and support to the Board, Committees and Directors in accordance with legislative requirements and Corporate Governance and to guide and advise the Board, Committees and Directors on their fiduciary duties and best practices with regards to Corporate Governance.

Key Responsibilities  
•    Develop and implement processes to promote and sustain good Corporate Governance in line with King Code
•    Ensure robust governance framework, policies and procedures are put in place, clearly documented and communicated to the company
•    Initiate the development of Board and Committee meeting agendas, and oversee the timeous distribution of Board and Committee Packs
•    Ensure the Board and its committees function effectively by scheduling meetings, proactively managing the agenda, ensuring the presentation of high quality up-to-date information in advance of meetings in order to enable directors to contribute fully in board discussions and debate and to enhance the capability of the Board for good decision making
•    Monitor follow up action after meetings and maintaining a rolling agenda and action points

Skills and Competencies    Requirements

•    CA (SA)
•    CIS or LLB qualification
•    Minimum of 10 years’ experience in a Company Secretarial or Corporate Governance role
•    In-depth knowledge of Company Secretarial Practices 
•    In-depth knowledge and understanding of Corporate Governance principles and practices
•    In-depth knowledge of business functions, key activities and business processes within an organisation
•    Good knowledge of risk management and commercial law
•    Experience within Financial Services industry is desirable

•    Excellent report writing and minute taking skills
•    Proficiency in MS Word, Excel, PowerPoint
